End User Licence Agreement (EULA)

Forceteck Ltd – SprintAI Software

IMPORTANT: Please read this End User Licence Agreement ("Agreement") carefully before using the SprintAI software ("Software"). By installing or using the Software, you agree to be bound by the terms of this Agreement.

1. Licence Grant

Forceteck Ltd ("Licensor") grants you ("User") a non-exclusive, non-transferable licence to install and use the Software for personal or internal business use, subject to the terms of this Agreement.

2. Restrictions

You may not:

  • Modify, reverse-engineer, decompile, or disassemble the Software.
  • Distribute, sublicense, rent, or lease the Software.
  • Use the Software for unlawful purposes.

You may make a reasonable number of backup copies for archival purposes, provided all proprietary notices are retained.

3. Ownership

The Software is licensed, not sold. All intellectual property rights remain with Forceteck Ltd.

4. Updates

The Licensor may provide updates or new releases. Updates are intended to improve functionality or security and will not impair existing features.

5. Warranty

For 90 days from the date of delivery, the Software is warranted to perform in accordance with its documentation. If defects are found, Forceteck will repair or replace the Software.

6. Limitation of Liability

To the extent permitted by law, Forceteck Ltd shall not be liable for:

  • Loss of profits, data, or business opportunities.
  • Indirect or consequential damages.

Liability is limited to the amount paid for the Software.

7. Termination

This Agreement is effective until terminated. You may terminate it at any time by uninstalling the Software. The Licensor may terminate it if you breach any terms. Upon termination, you must delete all copies of the Software.

8. Data Protection

Both parties agree to comply with applicable data protection laws.

9. Governing Law

This Agreement is governed by the laws of England and Wales. Any disputes shall be resolved under the jurisdiction of its courts.

10. Data Confidentiality

  1. Confidential Information

    The Software may contain proprietary and confidential information belonging to Forceteck Ltd, including but not limited to source code, algorithms, documentation, and technical specifications. You agree not to disclose, reproduce, or use such information except as expressly permitted under this Agreement.

  2. User Data Protection

    Forceteck Ltd will handle any personal data collected through the Software in accordance with applicable data protection laws, including the UK GDPR and the Data Protection Act 2018. All data will be processed securely and only for the purposes necessary to provide and improve the Software.

  3. Security Measures

    Forceteck Ltd implements appropriate technical and organisational measures to protect confidential and personal data against unauthorised access, loss, or destruction. These include encryption, access controls, and regular security audits.

  4. Third-Party Disclosure

    Confidential information will not be shared with third parties except:

    • With your explicit consent.
    • Where required by law or regulatory authority.
    • With trusted service providers under strict confidentiality obligations, solely for the purpose of supporting the Software.
  5. User Responsibilities

    You agree to maintain the confidentiality of any credentials or access keys provided for the Software and to notify Forceteck Ltd immediately of any suspected breach or unauthorised access.

  6. Survival

    These confidentiality obligations shall survive termination of this Agreement for a period of 12 months.
